This Master Services Agreement ("Agreement") is entered into between you ("Customer," "User," or "you") and Ashburn Proxies ("Company," "we," "us," or "our") and governs all access to and use of the Company's proxy network, software, APIs, dashboards, websites, and related services (collectively, the "Services").
BY ACCESSING OR USING THE SERVICES, YOU AGREE TO BE LEGALLY BOUND BY THIS AGREEMENT.
2. NATURE OF SERVICES; NO PROPERTY RIGHTS
The Services provide temporary access to network routing resources.
Customer acknowledges that:
- IP addresses remain the property of their respective owners
- IP assignments may change at any time without notice
- Routing paths and infrastructure may vary
- No ownership or exclusive rights to infrastructure are granted
- Service performance depends on external networks beyond Company control
No intellectual property or infrastructure ownership is transferred to Customer.
3. ACCEPTABLE USE; PROHIBITED ACTIVITIES
Customer shall not use the Services for any unlawful, harmful, deceptive, abusive, or unauthorized purpose.
Prohibited activities include, without limitation:
Illegal or Fraudulent Conduct, Security Violations, Network Abuse, Platform Abuse, and Harmful Conduct as described in the Agreement.
Violation may result in immediate suspension or termination without notice.
4. CUSTOMER COMPLIANCE RESPONSIBILITY
Customer is solely responsible for ensuring that all activities comply with applicable laws, third-party terms, data protection requirements, export regulations, and anti-spam laws.
5. MONITORING AND ENFORCEMENT
Company may monitor usage patterns, investigate complaints, suspend access, block traffic, preserve records, and cooperate with law enforcement without prior notice.
6. PAYMENTS; BILLING; NON-REFUNDABLE SERVICES
Fees are charged in advance. ALL PURCHASES ARE FINAL AND NON-REFUNDABLE EXCEPT WHERE REQUIRED BY LAW.
7. CHARGEBACKS AND PAYMENT DISPUTES
Chargebacks may result in suspension, collections activity, and legal remedies.
8. ACCOUNT SECURITY
Customer is responsible for safeguarding credentials. Company is not liable for unauthorized account use.
9. SERVICE DISCLAIMER; NO WARRANTIES
Services are provided "AS IS" and "AS AVAILABLE" without warranties.
10. LIMITATION OF LIABILITY
Company shall not be liable for indirect or consequential damages. Liability is capped at fees paid in the prior 30 days.
11. INDEMNIFICATION
Customer agrees to indemnify Company from claims arising from use of the Services.
12. FORCE MAJEURE
Company is not liable for failures caused by events beyond reasonable control.
13. TERMINATION
Company may suspend or terminate Services at any time for risk mitigation or legal compliance.
14. GOVERNING LAW AND VENUE
Governed by the laws of the Commonwealth of Virginia, United States.
15. MODIFICATIONS
Company may modify this Agreement at any time. Continued use constitutes acceptance.
